These terms govern your use of kaganapn. Please read them — we've tried to make them clear and fair.

The Short Version
Here's what you're agreeing to in plain language:
- kaganapn is a marketplace. We connect event organizers with suppliers. We are not a party to your transactions — organizers and suppliers deal with each other directly.
- We use AI to help, not decide. AI generates event plans and supplier recommendations, but you make all final decisions about who to book and what to pay.
- Suppliers set their own prices and terms. We don't control pricing, service quality, or availability. Quotes are between you and the supplier.
- We don't process payments yet. Suppliers track payments manually within the platform. When we add payment processing, we'll update these terms.
- Your content stays yours. We need a license to display it on the platform, but we don't own it and we won't sell it.
- We're in closed beta. Things may change, break, or evolve. We'll keep you informed.
- Philippine law applies. Disputes are handled in Cebu City, Philippines.

Acceptance of Terms
Welcome to kaganapn ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our AI-powered event planning marketplace, website at kaganapn.com, and related services (collectively, the "Service").
By using kaganapn, you confirm that you:
- Are at least 18 years old
- Have the legal capacity to enter into a binding agreement
- Have read and agree to these Terms and our Privacy Policy
- Will comply with all applicable Philippine laws and regulations
We may update these Terms from time to time. Material changes will be communicated via email and platform notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the updated Terms.
What kaganapn Is (and Isn't)
What We Are
kaganapn is an AI-powered event planning marketplace. We provide:
- A platform for organizers to plan events with AI assistance
- A directory and matching system connecting organizers with verified suppliers
- Booking and communication tools for organizers and suppliers to coordinate
- Guest management, RSVP, and seating tools for event organizers
What We Are Not
We are not a party to your transactions. This means:
- We do not guarantee the quality, safety, legality, or availability of any supplier's services
- We do not set or control supplier pricing, availability, or service terms
- We do not employ or subcontract suppliers — they are independent businesses
- We are not responsible for the outcome of any event or booking
- We do not provide insurance coverage for events or services
Organizers and suppliers are responsible for their own agreements, communications, and transactions. We strongly encourage both parties to conduct their own due diligence.
Service Availability
kaganapn is currently in closed beta. During this phase:
- Features, interfaces, and functionality may change without advance notice
- We aim for high availability but do not guarantee uninterrupted service
- Some features may be experimental or limited in scope
- Supplier access is by invitation only
Account Registration
Requirements
To create an account, you must:
- Provide accurate, complete, and current information
- Use a valid email address that you have access to
- Create a secure password and keep it confidential
- Confirm your email address through our verification process

Create events, browse suppliers, manage bookings, and use AI planning tools.
Supplier
Invitation Only (Beta)
Create a business profile, list services, receive and manage booking inquiries, and track payments.
Your Account Security
You are responsible for all activity under your account. You agree to:
- Keep your login credentials confidential
- Notify us immediately at legal@kaganapn.com if you suspect unauthorized access
- Not share your account or let others use it
- Log out from shared or public devices
We are not liable for losses resulting from unauthorized use of your account where you have failed to maintain the security of your credentials.
How the Platform Works
Understanding the platform mechanics is important to understanding these Terms.
Event Planning
Organizers create events by providing details (date, location, budget, guest count, theme) and an AI planning prompt. Our AI generates a personalized event plan including budget breakdowns, timelines, and supplier category recommendations. Organizers can customize, regenerate, or manually override AI-generated plans.
Supplier Matching
Based on the event plan, our AI scores and recommends suppliers by compatibility — factoring in location, budget range, categories, and event requirements. Recommendations are suggestions, not endorsements. Organizers are free to browse the full supplier directory and book any available supplier.

At any point before confirmation, either party may decline without penalty. Once a booking is confirmed (status: booked), both parties have committed and should honor the agreement.
In-App Messaging
Organizers and suppliers communicate through the booking's built-in messaging system. Messages are private between the two parties. kaganapn may access message content for platform safety, dispute resolution, or legal compliance, but does not monitor messages in real time.
Payment Tracking
Currently, all payments occur off-platform (e.g., via GCash, Maya, bank transfer, cash). Suppliers manually record payments within the platform for tracking purposes. Payment status (unpaid, partially paid, fully paid) updates automatically based on recorded amounts.
kaganapn does not process, hold, or guarantee any payments between organizers and suppliers. Payment disputes are between the transacting parties.
Future: We plan to integrate payment processing. When we do, these Terms will be updated with specific payment processing terms before the feature launches.
User Responsibilities
- Provide accurate and truthful information in your profile, listings, and communications
- Treat other users with respect and professionalism
- Keep your profile and listings current
- Report suspicious activity, abuse, or Terms violations to legal@kaganapn.com
- Comply with applicable Philippine laws and regulations
Prohibited Conduct
The following activities are prohibited and may result in account suspension or termination:
Platform Abuse
- Attempting to exploit, hack, or reverse-engineer the platform or its AI systems
- Automated scraping, data harvesting, or bot activity
- Deliberately overloading servers or disrupting platform performance
- Circumventing security measures, access controls, or rate limits
Fraudulent Behavior
- Creating fake accounts, profiles, or businesses
- Submitting false verification documents
- Creating fake reviews or manipulating ratings
- Misrepresenting services, qualifications, or business status
- Recording false payment information
- Booking with no intention to follow through
Harmful Conduct
- Harassing, threatening, or intimidating other users
- Posting illegal, discriminatory, defamatory, or obscene content
- Sharing other users' personal information without consent
- Using the platform for any illegal purpose
- Soliciting users off-platform to avoid booking records
IP Violations
- Uploading content you don't have the right to use
- Copying or reproducing other suppliers' profiles, photos, or descriptions
- Using kaganapn's branding, logos, or content without written permission
We investigate reported violations and take action at our discretion, including warnings, temporary suspension, or permanent termination. Serious violations (fraud, illegal activity, safety threats) may result in immediate termination without prior notice.
AI-Powered Features
How AI Is Used
kaganapn uses AI (powered by Anthropic's Claude) to:
- Generate personalized event plans from your inputs
- Score and rank suppliers based on compatibility with your event
- Generate enhanced supplier profiles from business information
- Provide budget breakdowns and timeline recommendations
- Optimize your event planning prompts for better results
AI Limitations — Please Read
AI recommendations are suggestions, not guarantees. You are responsible for all decisions you make based on AI output.
- AI-generated plans are starting points — always review and customize them for your specific needs
- Supplier compatibility scores reflect algorithmic analysis, not our endorsement of any supplier
- Budget breakdowns are estimates based on Philippine market data and may not reflect actual supplier pricing
- AI may produce inaccurate, incomplete, or unsuitable recommendations
- AI outputs should not be relied upon as the sole basis for any financial, contractual, or planning decision
Your AI Data
Event details, preferences, and prompts you provide are processed by our AI system. See our Privacy Policy for full details on AI data handling, including what data is sent to Anthropic's Claude API and how it's protected.
Payments & Transactions
Current (Beta)
- All kaganapn platform features are provided free of charge
- No subscription fees or platform fees are charged
- All payments for supplier services occur off-platform between organizers and suppliers directly
- kaganapn does not process, hold, escrow, or guarantee any payments
Coming Soon
- Supplier subscriptions — tiered plans for enhanced visibility and features
- Organizer event upgrades — optional paid features for specific events
- Payment processing — direct GCash, Maya, bank transfer integration
- At least 30 days advance notice before any fees are introduced
Transaction Responsibility
Since payments happen off-platform:
- Organizers and suppliers are solely responsible for agreeing on payment terms, methods, amounts, and schedules
- kaganapn is not liable for non-payment, late payment, overpayment, or payment disputes
- Payment records logged by suppliers are for tracking convenience only and do not constitute receipts, invoices, or legal proof of payment
- We strongly recommend that both parties maintain their own payment records and issue proper receipts
Intellectual Property
What We Own
- The platform's software, code, and infrastructure
- AI algorithms, matching logic, and scoring systems
- Platform design, user interface, and visual elements
- The kaganapn name, logo, and brand assets
- Platform-generated analytics and aggregated, anonymized insights
What You Own
You retain full ownership of content you create and upload:
- Business profiles, descriptions, and service listings
- Photos, portfolio images, and videos
- Reviews and written feedback
- Event details and custom plans
- Messages and communications
License You Grant Us
By uploading content to kaganapn, you grant us a non-exclusive, royalty-free, worldwide license to:
- Display your content on the platform (e.g., showing your supplier profile to organizers)
- Process your content to provide our services (e.g., AI analyzing your profile to generate match scores)
- Reproduce your content in platform communications (e.g., including your business name in booking notification emails)
This license is limited to operating and improving kaganapn. We will not:
- Sell your content to third parties
- Use your photos or videos in our advertising without your separate, explicit consent
- Sub-license your content for purposes unrelated to the platform
This license terminates when you delete your content or your account, except for content that has been shared through bookings, anonymized or aggregated data, and content retained for legal compliance or dispute resolution.
AI-Generated Content
Content generated by our AI (event plans, budget breakdowns, supplier compatibility scores, enhanced profile descriptions) is provided for your use within the platform. You may use AI-generated event plans for your personal event planning purposes. You may not resell, redistribute, or commercially exploit AI-generated content outside the platform.
Copyright Concerns
If you believe content on kaganapn infringes your copyright, email legal@kaganapn.com with a description of the copyrighted work, the location (URL) of the allegedly infringing content, your contact information, and a statement that you have a good-faith belief the use is unauthorized. We will investigate and respond within 14 business days.
Limitation of Liability
Important
kaganapn is a marketplace that facilitates connections. We are not liable for supplier performance, event outcomes, AI accuracy, or off-platform payments.
Maximum liability: The greater of (a) total fees you've paid to kaganapn in the past 12 months, or (b) ₱10,000 PHP.
Platform Provided "As Is"
kaganapn is provided on an "as is" and "as available" basis. To the maximum extent permitted by Philippine law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
What We're Not Liable For
- Supplier performance
- The quality, timeliness, safety, or legality of services provided by any supplier
- Event outcomes
- Whether your event succeeds, meets expectations, or goes as planned
- AI accuracy
- Incorrect, incomplete, or unsuitable AI-generated recommendations, plans, or scores
- User disputes
- Disagreements, breaches, or conflicts between organizers and suppliers
- Off-platform payments
- Non-payment, fraud, or disputes arising from transactions conducted outside our platform
- Third-party services
- Failures or issues with services we integrate (email delivery, cloud storage, video hosting)
- Data loss
- Loss of data due to system failures, though we take reasonable precautions to prevent this
- Indirect damages
- Lost profits, business interruption, lost data, or consequential damages arising from use of the platform
Your Assumption of Risk
By using kaganapn, you acknowledge that:
- You are responsible for evaluating suppliers and making informed booking decisions
- AI recommendations are tools to assist your decision-making, not substitutes for your own judgment
- Off-platform transactions carry inherent risk that kaganapn cannot mitigate
- You should obtain appropriate insurance for your events where warranted
Dispute Resolution
Between Organizers and Suppliers
We encourage organizers and suppliers to resolve disputes directly through the platform's messaging system. If direct communication fails:

kaganapn's role in disputes is limited to providing platform records (booking history, messages, payment records) and facilitating communication. We do not arbitrate, adjudicate, or make binding determinations.
Between You and kaganapn
- Governing Law
- Laws of the Republic of the Philippines
- Jurisdiction
- Courts of Cebu City, Philippines (exclusive)
- Good Faith
- Both parties agree to attempt resolution through good-faith negotiation for 30 days before initiating legal proceedings
- Language
- All proceedings conducted in English
Account Termination
You Can Leave Anytime
Close your account by contacting hello@kaganapn.com or through account settings. Upon closure:
- Your profile and listings will be removed
- Active bookings should be completed or properly cancelled first
- Your personal data handled per our Privacy Policy
- You may request a copy of your data before closure
We May Terminate Accounts
We reserve the right to suspend or terminate for:
- Violations of these Terms or our Privacy Policy
- Prohibited conduct (Section 6)
- Fraudulent, illegal, or harmful activity
- Inactivity for 24 months or longer (with advance notice)
Non-urgent violations: Warning + 14 days to remedy before suspension.
Serious violations: Immediate suspension or termination without prior notice.
Appeals
If you believe your account was suspended or terminated in error, email legal@kaganapn.com within 30 days with your account details, an explanation, and any supporting evidence. We will review appeals within 14 business days. Our decision on appeals is final.
After Termination
- Surviving terms: Sections 9 (IP), 10 (Liability), 11 (Disputes), and 14 (General) survive termination.
- Data retention: Some data may be retained as described in our Privacy Policy.
- Shared content: Content shared through bookings may remain visible to the other party.
- Outstanding obligations: Payment obligations or unresolved disputes from before termination remain in effect.
Changes to These Terms
We may update these Terms as kaganapn evolves. When we do:
Minor Changes
Clarifications, formatting, typos — updated immediately with a new "Last Updated" date.
Material Changes
New fees, changed liability terms, new data practices — communicated via email and platform notice at least 14 days before the effective date.
Significant Changes
Changes affecting your rights (paid features, dispute resolution changes) — communicated at least 30 days in advance, with the option to close your account before changes take effect.
If you disagree with updated Terms, your remedy is to stop using kaganapn and close your account before the changes take effect.
General Provisions
- Entire Agreement
- These Terms, together with our Privacy Policy and any feature-specific terms we may introduce, constitute the entire agreement between you and kaganapn.
- Severability
- If any provision of these Terms is found unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect.
- No Waiver
- Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.
- Assignment
- You may not assign or transfer your rights or obligations under these Terms. kaganapn may assign its rights and obligations in connection with a merger, acquisition, or sale of assets, with notice to you.
- Force Majeure
- kaganapn is not liable for delays or failures in performance resulting from events beyond our reasonable control, including natural disasters, pandemics, government actions, internet outages, or utility failures.
- Notices
- We will send notices to the email address associated with your account. You are responsible for keeping your email current. Notices are deemed received 24 hours after sending.
- Headings
- Section headings are for convenience only and do not affect the interpretation of these Terms.
