These terms govern your use of kaganapn and establish the rights and responsibilities of all users.

Welcome to kaganapn ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our AI-powered event planning platform, website, and related services (collectively, the "Service").

By accessing or using kaganapn, you agree to be bound by these Terms. If you do not agree with any part of these terms, you may not access or use our Service.

1. Acceptance of Terms

By using kaganapn, you acknowledge that you have read, understood, and agree to:

  • All applicable laws and regulations
  • Any additional terms that apply to specific features or services

These Terms constitute a legally binding agreement between you and kaganapn. We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Service Description

kaganapn is an AI-powered event planning marketplace that connects event organizers with verified suppliers in the Philippines. Our platform provides intelligent matching, event planning tools, and booking management services.

Service Availability

Beta Phase: kaganapn is currently in closed beta. Service availability, features, and performance may vary. We strive for high uptime but do not guarantee uninterrupted service during this phase.

Future Service Model

Upon full launch, kaganapn will operate as a freemium service with core features available for free and enhanced features available through paid subscriptions. All users will be notified in advance of any changes to the service model.

3. Account Registration & Requirements

Account Requirements

  • You must be at least 18 years old
  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Have legal capacity to enter into binding agreements
  • Comply with all applicable laws and regulations

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • • Notify us immediately of any unauthorized use of your account
  • • Use strong passwords and enable two-factor authentication when available
  • • Do not share your account credentials with others
  • • Log out of shared or public devices

4. Account Abuse & Refund Policy

Account Abuse Policy

kaganapn has the right to immediately deactivate any account that abuses our system.

Prohibited Activities Include:

  • System Manipulation: Attempting to exploit, hack, or manipulate our platform or AI systems
  • Fraudulent Activity: Creating fake accounts, providing false information, or fraudulent bookings
  • Spam and Abuse: Sending unsolicited messages, reviews, or content
  • Platform Disruption: Activities that cause significant downtime, system overload, or service degradation
  • Malicious Behavior: Harassment, threatening behavior, or attacks against other users
  • Violation of Terms: Repeated or serious violations of these Terms of Service
  • Illegal Activity: Using the platform for any illegal purposes or activities
  • Data Scraping: Unauthorized extraction of platform data or user information

Refund Policy for Paid Accounts

✅ Prorated Refund Eligible

If your paid account is deactivated for system abuse, you will receive a prorated refund for the unused portion of your subscription, provided that:

  • The abuse did not cause significant downtime to our platform
  • The abuse did not result in data loss or security breaches
  • The abuse did not require extensive technical resources to resolve
  • No legal action is required due to the abuse

❌ No Refund Conditions

No refund will be provided if the account abuse:

  • Caused significant platform downtime affecting other users
  • Required emergency technical interventions or system recovery
  • Resulted in data corruption, loss, or security compromises
  • Involved illegal activities or required law enforcement involvement
  • Caused financial losses to kaganapn or other platform users

Refund Processing

  • • Refunds are processed within 30 business days of account deactivation
  • • Refunds are issued to the original payment method
  • • Processing fees and transaction costs are non-refundable
  • • Partial month usage is calculated on a daily basis

Appeals Process

If you believe your account was deactivated in error, you may submit an appeal within 30 days by contacting appeals@kaganapn.com.

Appeals must include detailed information about your account and the circumstances leading to deactivation. Our decision on appeals is final.

5. User Responsibilities

Event Organizers

  • • Provide accurate event information and requirements
  • • Communicate professionally with suppliers
  • • Honor booking commitments and payment obligations
  • • Provide honest feedback and reviews
  • • Respect intellectual property and confidential information
  • • Comply with all applicable event planning regulations

Suppliers

  • • Maintain accurate business profiles and service listings
  • • Provide services as advertised and agreed upon
  • • Respond promptly to inquiries and booking requests
  • • Maintain proper business licenses and insurance
  • • Deliver high-quality services professionally
  • • Comply with all applicable business regulations

General User Obligations

  • Use the platform lawfully and ethically
  • Respect other users' rights and privacy
  • Provide accurate and truthful information
  • Keep your account information up to date
  • Report suspicious or abusive behavior

❌ You Must Not:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Engage in fraudulent or deceptive practices
  • Harass, threaten, or abuse other users
  • Attempt to circumvent platform security

6. Platform Usage Guidelines

  • • Spreading misinformation or defamatory content

7. Payment & Billing Terms

Current Beta Phase

During the closed beta phase, all kaganapn services are provided free of charge. No payment information is required for basic platform access.

  • Auto-Renewal: Subscriptions auto-renew unless canceled
  • Currency: Philippine Peso (PHP) and major international currencies
  • Taxes: Applicable taxes added based on billing location

Cancellation & Refund Policy

  • • Cancel subscriptions anytime through account settings
  • • No refunds for partial months unless required by law
  • • Access continues until end of current billing period
  • • Account deactivation for abuse may affect refund eligibility (see Section 4)

8. Intellectual Property Rights

kaganapn's IP Rights

We own all intellectual property rights in:

  • • The kaganapn platform and software
  • • AI algorithms and matching technology
  • • Platform design, logos, and branding
  • • Generated content and recommendations
  • • Data analytics and insights

Your Content Rights

You retain ownership of content you create:

  • • Business profiles and descriptions
  • • Photos and portfolio images
  • • Reviews and feedback
  • • Event details and plans
  • • Communications and messages

License Grant

By using kaganapn, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Display your content on our platform
  • Use your content to provide our services
  • Create derivative works for AI training and improvement
  • Share your content with other users as necessary for bookings

This license ends when you delete your content or terminate your account, except for content that has been shared with others or integrated into our AI systems.

Copyright Infringement

If you believe your copyrighted work has been infringed, please contact us at copyright@kaganapn.com with:

  • Description of the copyrighted work
  • Location of the infringing material
  • Your contact information
  • Good faith statement of infringement
  • Statement of accuracy under penalty of perjury

9. Limitation of Liability

IMPORTANT: Please read this section carefully as it limits kaganapn's liability to you.

Service Disclaimer

kaganapn is provided "as is" and "as available." We make no warranties, express or implied, including:

  • Merchantability or fitness for a particular purpose
  • Non-infringement of third-party rights
  • Accuracy of AI recommendations or supplier information
  • Uninterrupted or error-free service
  • Security of data transmission or storage

Liability Limitations

To the maximum extent permitted by law, kaganapn shall not be liable for:

  • Indirect Damages: Including lost profits, business interruption, or data loss
  • Third-Party Actions: Actions or omissions of suppliers, organizers, or other users
  • Event Outcomes: Success, quality, or satisfaction with events or services
  • AI Recommendations: Accuracy or suitability of AI-generated suggestions
  • Force Majeure: Events beyond our reasonable control

Damage Cap

Our total liability for any claims related to kaganapn shall not exceed the greater of: (a) the amount you paid to kaganapn in the 12 months preceding the claim, or (b) ₱10,000 PHP.

User Responsibility

Users are responsible for their own interactions, transactions, and decisions made through kaganapn. We recommend conducting due diligence, obtaining appropriate insurance, and following best practices for event planning and business relationships.

10. Dispute Resolution

Step 1: Direct Resolution

For disputes between users (organizers and suppliers), we encourage direct communication first. Our platform provides messaging tools to facilitate professional discussions.

Step 2: Platform Mediation

If direct resolution fails, contact our support team at disputes@kaganapn.com.

  • • We provide voluntary mediation services
  • • Our team reviews evidence from both parties
  • • We facilitate fair and reasonable solutions
  • • Mediation is non-binding but often effective

Step 3: Legal Resolution

For disputes involving kaganapn or unresolved user disputes:

  • Jurisdiction: Philippine courts have exclusive jurisdiction
  • Governing Law: These terms are governed by Philippine law
  • Venue: Legal proceedings must be filed in Metro Manila, Philippines
  • Language: All proceedings conducted in English

Alternative Dispute Resolution

Before pursuing legal action, parties agree to attempt resolution through mediation or arbitration under Philippine law. This requirement does not apply to claims for intellectual property infringement or urgent injunctive relief.

11. Account Termination

Your Right to Terminate

  • • Cancel your account anytime
  • • Download your data before termination
  • • No penalties for account closure
  • • Access continues until billing period ends
  • • Some data may be retained for legal purposes

Our Right to Terminate

  • • Violation of these Terms of Service
  • • Abuse of platform or other users
  • • Fraudulent or illegal activity
  • • Failure to pay subscription fees
  • • Extended period of inactivity

Post-Termination

  • Surviving Provisions: Payment obligations, liability limitations, and dispute resolution terms survive termination
  • Data Retention: Some data retained for legal, safety, and business purposes as outlined in our Privacy Policy
  • Third-Party Content: Content shared with other users may remain visible
  • Re-activation: Terminated accounts cannot be reactivated; new registration required

12. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and kaganapn.

Modifications

We may modify these Terms at any time. Material changes will be communicated through email, platform notifications, or prominently displayed notices. Continued use after modifications constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign your rights under these Terms. kaganapn may assign its rights and obligations to any party without restriction.

Force Majeure

kaganapn is not liable for delays or failures in performance due to events beyond our reasonable control, including natural disasters, government actions, or technical failures.
